Desktop License License Agreement Version 1.2 By downloading and/or installing font software from Fontspring, you, either as individual or single entity, agree to be bound by the terms of this Agreement. This Agreement, in conjunction with the receipt that accompanies each purchase from Fontspring or its distributors, constitutes the complete Agreement between you and the font software’s author, Jan Tonellato. This Agreement allows you a non-exclusive and unlimited-in-duration permission to use this font software. Nothing in this Agreement shall be deemed to transfer to you any patent, copyright or other intellectual property right except as expressly set forth herein. 1. Allowed Uses You can use the licensed font for any non-commercial and commercial work with the following limitations. You may use the licensed font to create graphics for display on any surface including computer screens, television screens, paper, t-shirts and any other surface where the image will be a fixed size. You may also embed or link the licensed fonts in accordance with the rules described in Section Four of this license. You may not create alphabet or letterform products for resale where the product consists of individual letterforms, including rubber stamps, die-cut products, stencil products, or adhesive sticker alphabet products where the likeness of the licensed fonts can be reproduced and the end-user of said products can create their own typesetting. You may create typographic products using the licensed fonts if the product consists of commonly recognized words or phrases. For example: a rubber stamp that has the words “Thank You” or a sticker that says “Great!” If there are illustrations or images in the licensed fonts OTHER THAN letterforms, numbers, punctuation marks, diacritics, etc, you may NOT use the licensed fonts in a manner where the illustration or image becomes the primary aspect of a product for resale. For example, if an image was used on a coffee cup, to sell the coffee cup, or on a t-shirt to sell the t-shirt or on a greeting card to sell the greeting card, etc. 2. Number of Users The licensed font may be simultaneously used by no more than the number of users specified in the receipt you received for the licensed font. All users must be located in the same geographic location. See Section Four for exceptions for embedding and linking. 2b. Applies to free fonts ONLY ($0.00 license fee) You are allowed to install and use the licensed font on any number of computers, output devices and for any number of users. You are allowed to share the licensed font inside your company or office, by hard drive supports or intranet, as a restricted access to it is assured. You are allowed to share the licensed font with your printing and rendering services. You can make unlimited number of personal archive copies of the licensed font. 3. Third parties and Transferability You may temporarily provide the font to a printer or other service bureau that is working on your behalf only if they agree to use the font exclusively for your work, agree to the terms of this license, and retain no copies of the font on completion of the work. You may not provide the font or make it accessible to any other third parties, included any freelance, agency, organization, contractors. Each of them needs its own license. You are strictly forbidden to sell, resell, lease or charge for access to the licensed font. You may not distribute the font to third parties or make the font publicly accessible except by embedding or linking in accordance with the rules described in Section Four. 4. Embedding and Linking 4a. Adobe Portable Document Format (“PDF”) Embedding You may embed the licensed fonts into any read-only PDF you send to third parties. Such documents may only be viewable and printable (but not editable) by the recipients. 4b. Flash and Silverlight Embedding You may embed the licensed fonts into Flash or Silverlight with the following restrictions: 1. The fonts must be subset to include only the glyphs necessary for displaying the work. 2. The text rendered in the licensed font must not be manipulatable by an end user. 3. All care must be taken to prevent unauthorized users from accessing the fonts. 4b. @font-face Cascading Style Sheet (“CSS”) Linking You may not link the licensed font to web sites using the @font-face selector in CSS. A license addendum allowing @font-face usage is required. 4c. Other Web Site Linking You may not convert or embed the licensed font with any other technology. This includes Javascript methods such as Cufón and Typeface.js. 4d. Application and Game Embedding You may embed the licensed fonts into a computer application or game for an additional licensing fee. Please contact the vendor for further informations. 4e. Applies to free font ONLY ($0.00 license fee) You can embed the licensed font into an other software, without altering the provided files, if all following conditions are achieved: 4e1. you must obtain a prior written authorisation from the Author; 4e2. you must credit the Author, the licensed font name and the licensed font’s URL somewhere in your software; 4e2.a. the credit placement must be specified in the authorisation request. Any credit placement change make the previous embedding authorisation fail and needs a new authorisation request; 4e2.b. the credit text must be specified in the authorisation request. Any credit text change makes the previous embedding authorisation fail and needs a new authorisation request. 5. Modifications You may import and alter the bezier outlines of the licensed font in a drawing program. You may not modify, edit, decompile, alter, convert in another format or modify the font software or create derivative works based on the licensed font without prior written consent of its author except to generate computer files necessary for embedding or linking only as described in Section Four. 6.Distribution You are strictly forbidden to sell, resell, lease or charge for access to the licensed font. You are not allowed to publish and/or openly distribute the licensed font on any offline or online product/platform, without a prior written permission from the Author. You are nevertheless allowed to link the licensed font’s web page (http://typography.synthview.com) from your support. 7. Copyright & Intellectual Property The licensed font, both as artwork and font file, was entirely made by Jan Tonellato - http://typography.synthview.com who owns all its authorship rights, including intellectual property. You may be held legally responsible for any infringements on the author’s rights caused by your failure to abide by the terms of this Agreement. 8. Termination You agree that The Agreement shall automatically terminate, without notice from Fontspring or the font software’s author, if you fail to comply with any provision contained herein. 9. Disclaimer and Limited Warranty Fontspring warrants the Product to be free from defects in materials and workmanship under normal use for a period of twenty one (21) days from the date of delivery as shown on your receipt. Fontspring’s entire liability and your exclusive remedy as to a defective product shall be, at Fontspring’s option, either return of purchase price or replacement of any such product that is returned to Fontspring with a copy of the invoice. Fontspring shall have no responsibility to replace the product or refund the purchase price if failure results from accident, abuse or misapplication, or if any product is lost or damaged due to theft, fire, or negligence. Any replacement product will be warranted for twenty one (21) days. This warranty gives you specific legal rights. You may have other rights, which vary from state to state. EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE PRODUCT, IS PROVIDED “AS IS”. Fontspring MAKES NO WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. The entire risk as to the quality and performance of the Product rests upon you. Neither Fontspring nor the author warrants that the functions contained in the Product will meet your requirements or that the operation of the software will be uninterrupted or error free. Fontspring SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FROM LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE PRODUCT EVEN IF Fontspring OR THE AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. 10. Governing Law You accept this Agreement to be exclusively governed by French law. In the absence of an amicable settlement, any dispute that may arise due to the interpretation or execution of this Agreement shall be submitted to the competent jurisdiction of the Paris court of first instance of general jurisdiction (Tribunal de grande instance de Paris - 75).
